ShoutOut.social – Upload Terms and Conditions

By clicking “I Agree” (or otherwise using ShoutOut.social) you accept these Terms. If you do not agree, do not use the platform.

1. Who we are

Sprat Limited (company no. 07959705) is a private company limited by shares, registered at 8a Gardnor Road, London, NW3 1HA, United Kingdom. General enquiries: support@shoutout.social

2. Definitions

  • Account Holder – the customer who opened a ShoutOut workspace.
  • User – anyone uploading content or personal data.
  • Content – videos, images, audio, text and other material uploaded.
  • Personal Data – any information relating to an identifiable person, including custom fields configured by the Account Holder.

3. Eligibility

Users must be 18 + or 13–16 with verifiable parental consent. No one under 13 may use ShoutOut.social.

4. Account security

Keep credentials confidential; the Account Holder is responsible for all activity in their workspace.

5. Acceptable‑use rules

You must not upload Content that is:

  • Nude, sexual, exploitative or child‑directed
  • Hateful, discriminatory, harassing, defamatory or inciting violence
  • Illegal, infringing, deceptive, containing malware or spam, or using excessive profanity

We may remove or suspend offending Content or accounts without notice.

6. Licence to Content & waiver of moral rights

6.1 You grant (a) the Account Holder and (b) Sprat a world‑wide, perpetual, irrevocable, royalty‑free, transferable and sub‑licensable licence to host, copy, edit, transform, publish and otherwise exploit your Content in any medium for any purpose related to ShoutOut.social.

6.2 You waive all moral rights (UK CDPA §77–89) or similar rights worldwide.

6.3 Sprat may also use your Content for its own marketing, promotional and demonstration purposes—online or offline—without further permission or payment to you or the Account Holder.

7. Data‑Protection Notice (UK GDPR / EU GDPR)

Categories of personal data we process and why:

  • Registration data (name, email, job title) — used for account creation and support (Contract Art 6(1)(b)). Retained until account deletion or as required by law.
  • Custom fields (configured by the Account Holder) — populate video templates or analytics requested by the Account Holder (Contract Art 6(1)(b)). Retention at the Account Holder’s discretion.
  • Uploaded videos & metadata — provide video‑creation & hosting; Sprat marketing under clause 6.3 (Contract Art 6(1)(b) & Legitimate interest Art 6(1)(f)). Retention at the Account Holder’s discretion.
  • Analytics & logs — security and service improvement (Legitimate interest Art 6(1)(f)). Retained for 12 months.
  • Marketing emails (opt‑in) — product news (Consent Art 6(1)(a)). Retained until withdrawn.

Roles

For workspace data, the Account Holder is the Controller and Sprat is a Processor; for platform‑level data Sprat is an independent Controller.

Storage & transfers

All data is held on secure AWS facilities located in the UK. Any transfers outside the UK/EEA use Standard Contractual Clauses plus the UK Addendum.

Your rights

Email privacy@shoutout.social to exercise access, rectification, erasure, restriction, objection or portability. You can lodge complaints with the UK ICO.

Security

We employ encryption in transit, role‑based access controls and daily backups.

8. Cookies

Essential cookies are required for login; analytics cookies are disabled unless you opt in. See our Cookie Policy.

9. Suspension & termination

We may suspend or terminate access for breach of these Terms or the law. Either party may close an account at any time.

10. Disclaimer & liability

The platform is provided “as is.” Sprat’s total liability is capped at fees paid in the 12 months preceding the event giving rise to the claim, except for liabilities that cannot by law be limited.

11. Changes to these Terms

We may modify these Terms with at least 14 days’ notice by email or in‑app banner. Continued use after the effective date constitutes acceptance.

12. Governing law & jurisdiction

These Terms are governed by English law; the courts of England & Wales have exclusive jurisdiction.
